Bull case

The first commercial pre-liquefier is delivered, GenH2 gets more orders for storage systems (buses, space, industry), and ProtonH2 shows cheap geological hydrogen. With revenue of EUR 10–15m in 2–3 years and EV/revenue 4–6, EV could reach EUR 40–90m; after debt and dilution of 30–50% that gives 1.5–3x – a 10x requires the ProtonH2 technology to work at large scale.

Bear case

Delivery of the first unit is delayed, the hydrogen market stays cold, and the major shareholder stops lending money. The cash (a few million EUR after leaseback) is burned in 1-1.5 years, and an issue at a very low price or an insolvency hits the few free shareholders. The AmeriMark stake at fair value may prove hard to realize.

Risk of going to zerohigh – almost no revenue, cash of EUR 0.09m before the leaseback, existential risk mentioned in the report and dependence on one major shareholder
Next financingCash was only EUR 0.09m at 30/6-2026, and operating spending was 3.0m in H1 (about 1.5m per quarter). In September 2026 a sale-and-leaseback of the factory in Titusville brought in a 'mid-single-digit' million USD amount (estimated EUR 3-5m), and about EUR 4.2m remains undrawn on H2E Americas' loan commitment of 5m. That gives 8-16 months of runway (management: at least 12 months). In addition, management plans new subordinated shareholder loans and a capital increase via the authorized capital; no restructuring has been announced.
Warrants & convertiblesNo capital increase in 2026 (the consideration shares for GenH2, 93.0m, were issued in spring 2025). Stock options: 1.07m (160,000 to employees, 909,090 to the CEO) from 2025. Authorised capital is planned to be used in 2026; the ProtonH2 purchase could trigger a large share issue.
Insiders, last 12 monthsNo purchases or sales on the exchange found. Major shareholder H2E Americas LLC has lent the company money (commitment raised from EUR 3m to 5m, EUR 0.82m drawn at 30/6-2026).
Largest ownersH2E Americas LLC is the largest single shareholder (exact stake not confirmed); the former GenH2 owners received 93.0m of the 111.5m shares (about 83%) in the 2025 merger, so free float is small.
Circio check(1) Small market cap: yes – approx. EUR 25m. (2) Hot theme: partial – hydrogen was hot, now cold; geological hydrogen is a new hyped theme. (3) Upcoming milestones: yes – first commercial unit and ProtonH2 option. (4) Major partner: no – only smaller partners (FASTECH, MP Industries, Golden Empire Transit). (5) Funding for 2+ years: no – approx. 1 year including the major shareholder's loan commitment. (6) Price near the bottom: yes – approx. −70% in a year.
Why this asymmetrySmall market cap and a theme (liquid and geological hydrogen) that can cause large swings, but almost no revenue, P/B around 5, a complex structure with a car dealership stake and ongoing need for capital from one major shareholder make the risk/return poor for minority shareholders.

Business

Is the company getting stronger, not just bigger? · 4 findings
−28 of −30
  • Margin
Revenue was only EUR 125,000 in H1 2026 (solely research collaborations, no product sales) vs EBITDA of −2.9m and a net loss of −EUR 3.9m; operating cash flow −3.0m in half a year.
    −12
  • Quality of growth
Revenue was EUR 365,000 in 2025 and 125,000 in H1 2026 (130,000 a year earlier); the first commercial liquefaction unit has not yet been delivered, and management itself writes that a delay means 2026 revenue will not exceed 2025 significantly. No quantitative guidance.
    −7
  • Moat
Patents on lossless storage of liquid hydrogen, but the market for liquefaction and cryogenic equipment is dominated by Air Liquide, Linde and Chart; the technology is not commercially proven at scale.
    −3
  • Capital allocation
Complex and unfocused structure: a listed shell with a 48% stake in a Swiss car-trading company (AmeriMark, EUR 24.8m at fair value), GenH2 via reverse takeover (93m shares, IFRS 2 expense of EUR 6.3m for the listing) and an option on ProtonH2; operations are financed with loans from major shareholders.

  • Multiples vs peers
Market cap EUR 24.5m vs equity attributable to parent shareholders of only 4.7m (P/B about 5) and annual revenue under 0.4m (P/S over 60). Listed hydrogen companies with real revenue typically trade at EV/revenue 1-5. No own history before 2025.

Cracks

Cash flow, customers, debt, insiders, guidance and what sits behind the headline numbers. · 5 findings
−29 of −35
  • Liquidity and going-concern risk
Cash was only EUR 91,000 at 30/6-2026; management calls liquidity the biggest, existence-threatening risk and writes that lack of financing 'could lead to insolvency'. Continued operations for 12 months rest on a loan commitment from the major shareholder and a sale-and-leaseback of the factory.
    −10
  • Impending dilution
Management expects a 'significantly higher capital raise' in 2026, including use of the authorized capital, and the ProtonH2 purchase may be paid in shares; with a market cap of EUR 24.5m even small issues will cause heavy dilution.
    −7
  • Governance and control
The largest shareholder H2E Americas LLC is also a lender (commitment raised from EUR 3m to 5m), Capana AG has lent money to both the parent company and AmeriMark, and the factory is sold and leased back; free float is very small, and one person makes up the entire executive board.
    −6
  • Customer concentration and market
Management describes the revenue base as 'highly concentrated' and the financing environment for early-stage hydrogen companies as challenging; the loss or delay of a single contract will hit hard.
    −4
  • Price risk and liquidity in the stock
The price has fallen about 69-71% over 52 weeks (range EUR 0.165-1.00), and only about 10,000 shares (about EUR 2,000) trade per day.

Plus

Only documented strengths. · 1 finding
+1 of +15
  • First order from a public customer
GenH2 and FASTECH have received a contract from Golden Empire Transit (Bakersfield, California) for a controlled storage system for liquid hydrogen for the bus fleet; a small but concrete commercial validation.

Caveats

What the score does not capture, or where the data is weak.
German holding company (formerly the shell Philomaxcap AG) that in 2025, via a reverse takeover, got American GenH2 Corp. (liquid hydrogen: liquefaction and lossless cryogenic storage, Titusville, Florida) in against 93.0m new shares. Also owns 48.46% of Swiss AmeriMark Group/AmeriMark Automotive (consolidated, with a capital stake at fair value of EUR 24.8m, which makes up most of the balance sheet). Stockanalysis only has a Frankfurt page with price and share count (Xetra statistics gives 404), so all financial figures are from the half-year report 30/6-2026 (published 30/9-2026). No history of multiples before 2025. The distribution of the 93m consideration shares and H2E Americas' exact ownership stake are not confirmed. Industry: 'Machinery & automation' chosen as closest for hydrogen equipment. Market cap self-calculated: 111.52m shares × EUR 0.22 = EUR 24.5m (approx. DKK 183m; Nordnet 200). No analysts on Stockanalysis (First Berlin had a buy recommendation in Nov. 2025).
