Business

Is the company getting stronger, not just bigger? · 2 findings
−7 of −30
  • Quality of growth
Adjusted EBIT grew only 0.5% in Q2 2026, and Financial Services revenue (largest segment) fell 1.6% in Q2; net result rose 4% in H1, and guidance was not raised after the half-year. Growth slows as interest rates fall.
    −2
  • Capital allocation: TIM acquisition
Poste has bought up to 85.8% of TIM (from 20.1%) for about 13 bn EUR, at 0.218 new Poste shares plus 1.97 EUR in cash per TIM share: about 0.3 bn new shares (about 20% dilution) and about 2.8 bn EUR in cash on a credit facility of 3.5 bn. A capital-light financial distribution platform becomes a conglomerate with a low-growth telecom business.

Price

Today's multiples against the company's own history and its peers. · 1 finding
−8 of −35
  • Multiples vs own history
Forward P/E 13.3 vs 6.8–11.9 in 2021–2025 and P/B 2.83 vs 1.24–1.99 (both records); dividend yield 5.0% vs 6.0–9.1%. The share price is 3.6 times as high as in 2022, while EPS has risen only about 53%, and ROE (18.2%) is in line with 2021–2025 (13–21%), so the re-rating is not driven by higher returns.
    −8

Cracks

Cash flow, customers, debt, insiders, guidance and what sits behind the headline numbers. · 2 findings
−5 of −35
  • TIM's operations and debt
TIM's home market is stagnant: domestic revenue +0.2% and EBITDA after lease −2.5% in H1 2026, with an adjusted net debt of about EUR 7.3bn, which Poste now consolidates.
    −3
  • State control
The state still controls over 50% via MEF and CDP after the TIM deal, and Poste is used to gather strategic telecom infrastructure in state hands; minority shareholders' interests risk being subordinated to political goals, and free float is only about 0.67bn of 1.51bn shares.
    −2

Plus

Only documented strengths. · 2 findings
+4 of +15
  • Dividend
Dividend per share EUR 1.25 (+15.7%), five years of increases and yield 5.0%; payout ratio 67% of net profit, and the dividend policy was confirmed after H1.
    +2
  • Capital and raised guidance
BancoPosta CET1 19.3% and Poste Vita Solvency II 303%; 2026 adjusted EBIT guidance raised to EUR 3.4bn after Q1 and confirmed after H1 (record revenue EUR 6.8bn, +5.9%).

Caveats

What the score does not capture, or where the data is weak.
Mixed group (post, BancoPosta, insurance, payments): EV, debt/EBITDA and ROIC on stockanalysis are distorted by customer deposits and insurance liabilities; the payout is held against net profit. All multiples and forecasts are before consolidation of TIM (85.8% after the reopening on 25 Sep); the new group's EPS, debt and share count will not be known until the next results, and the number of new shares (about 0.3bn, about 20% dilution) is an own estimate based on the exchange ratio of 0.218. The remaining TIM minority (about 14%) and the path to delisting have not been clarified. Peers have not been assessed because no listed peer has the same mix. BancoPosta's placement of deposits in government bonds and interest rate sensitivity have not been investigated separately (no deduction without a company-specific source). Insider ownership is shown as n/a. Q3 results 11 Nov.; new business plan with TIM expected in spring 2027.
